Today : Thursday 28 October 2010
Cannabis Science, Inc. (OTC Bulletin Board: CBIS), a pioneering US biotech company developing pharmaceutical cannabis products, is pleased to provide guidance to its shareholders and the general public for the proposed structure of the new Class of shares, dividend payouts, and proposed shareholder record date. On November 2, 2010 the Company will provide its guidance on and finalize its new Class of shares decision. Thus far, the guidance contemplates a 30:1 as dividend share payment and possibly as high as 10:1 share payout for all shareholders of record to receive the new class of shares as a shareholder dividend payment.

The Company is studying the Berkshire Hathaway example including two Classes of common stock, Class A as the new Class, and Class B will be the current trading common shares. Each Class of shares will have its own proposed trading symbol and will contain certain Berkshire Hathaway characteristics that allow a level share price ratio discrepancy controls to ensure a constant ratio price difference between the two share classes.

This shareholder expansion program is also key to pursuing some outstanding financing opportunities for the Company for up to $5 million for FDA Clinical trials and operations. These are ranging in financing pricing between $1.00 and $3.00 for the new Class of common share if the new share ratio pricing holds its weight during the Company's growth curve. Thus far with today's pricing we are looking at approximately $1.50 based on a 10:1 ratio of the current common share price, based on a 30:1 payout that could set the price to well above $3.00 per share. The higher price setting is commonly coinciding with the current common share price. The higher the price value will be placed on the new class of shares the higher the dollar value will be for those shareholders receiving them. Cannabis Science believes this gives our current shareholders of record an outstanding opportunity to capitalize on the share dividend payout creating another asset base for them while the company creates the new Class of common shares with a higher value via a dividend payment of this new Class of shares to shareholders of record who own the current common stock.

New Class of Shares and Dividends:

The Company is currently finalizing the following terms and structure in regards to the new Class A common shares:

A 30:1 or as high as 10:1 ratio dividend payment in the new Class A common shares for current common stockholders.
A price ratio conversion feature on the new Class A shares to ensure the integrity of the share price ratio during market fluctuations between the new Class A and B common share classes, similar to that of Berkshire Hathaway.
The shareholder record date for the dividend. The earliest possible shareholder record date is 20 days from the date that the Company makes a formal dividend declaration.
The ratio of future dividend payments for Class A and B shares.
Share purchase warrants issued to current common stockholders as an additional dividend benefit.
The above terms and structure will be finalized and publicly announced on Tuesday, November 2, 2010.

Corporate Update:

Cannabis Science will be providing guidance on its key areas of future business development with primary focus on:

Investigative New Drug Applications to the FDA for critical ailments.
Over the Counter Medicines
Laboratory for formulation applications, testing and FDA trials.
Current progress on its Rockbrook Inc. Commercialization Agreement
Strategic partnerships, acquisitions and joint ventures.
Establish Cannabis Science clinics and hospitals for patient treatment.
New cannabis formulations and discoveries for research and development.
Prop 19:

The election is expected to be very close, so we also urge everyone, especially our shareholders from California, to vote Yes to Prop 19.

Cannabis Science Inc., Director & CFO, Richard Cowan, noted that, in addition to donating $1 million in support Prop 19, George Soros released an op-ed piece in the Wall Street Journal Tuesday, where Soros wrote, "Just as the process of repealing national alcohol prohibition began with individual states repealing their own prohibition laws, so individual states must now take the initiative with respect to repealing marijuana prohibition laws."

Richard Cowan, added, "We would like to thank www.Businessinsider.com for profiling Cannabis Science as their first pick in a list of stocks that will be favorably impacted by the success of California's Prop 19 election. However, we are more than prepared to continue under current laws and appreciate the support medical cannabis receives from sophisticated investors such as George Soros. Dr. Melamede and I have long advocated the complete legalization of cannabis for adults, but the company's current business plan does not depend on a change in the laws in the near future."

Dr. Robert Melamede, Cannabis Science Inc., President & CEO, stated, "These initiatives, and the selection of new public officials, will hasten the end of marijuana prohibition. As more people learn the truth about the remarkable health promoting properties of cannabis. Finally the needless human suffering imposed by prohibition on humanity, especially minorities, the sick, children and the elderly, will end."

And I will gladly take a new M3 -if it doesn't pass-
there is always a bus pass-
it's true there is huge apathy among young voters
who see no difference and believe in nothing- they will soon learn
the vote is all there is left- maybe all the people pretending to be
against it- will still vote for it-

Proposition 19 Gains Steam; Latest Poll Shows Prop 19 Set to Pass

LONG BEACH, CA--(Marketwire - October 28, 2010) - With only one week left in the race to legalize marijuana in California, Long Beach dispensary Cornerstone Health and Wellness is urging all Californians to vote yes on Prop 19.

According to a new poll by EMC Research commissioned by the Yes on 19 campaign, the poll standings are significantly different from the LA Times/USC Poll that found the tax and regulate measure trailing by a wide margin. The results of a new poll by Prop 19 backers say thousands of voters might be saying "no" when asked, but voting "yes" in private. Prop 19 is winning 56 to 41 in this recent automated poll of 1,043 respondents.

"Although the polls are different, people need to get out and vote regardless," said Ryan Evans president of Cornerstone. "The only way to truly ensure that the proposition passes is for everybody to unify and rise to the occasion in this plight by voting yes. This is an exciting evolutionary period that should be embraced by everybody. We can all truly make our mark in history by passing this new measure," said Evans.

Cornerstone further notes that published in a study by Dr. Tod Mikuriya, MD, cannabis has an astounding success rate if used as a substitute for people with alcohol dependence. Some experts predict that if cannabis is decriminalized that it has the potential of weaning people naturally off of alcohol reducing the amount of overall drinking and driving related crimes and fatalities. "The chance to take a dent out of drunk driving is too great to overlook when it comes to the potential of Prop 19," said a spokesperson for Cornerstone.

On October 19, 2010 a group of mothers in favor of Prop 19 spoke out calling themselves moms for Prop 19. The moms say regulating and taxing marijuana could mean more resources for schools, while also making it harder for kids to get marijuana. "If you ask any kid in high school what's the easiest drug for them to get their hands on, they're going to say marijuana," said Gretchen Burns Bergman, co-founder and executive director of A New PATH (Parents for Addiction Treatment and Healing). "Easier than tobacco. Easier than alcohol, and those are related."

If Prop 19 passes, the state is expected to collect approximately 1.4 billion in tax revenue in the first year.

"All Californians must join together in spreading the word to vote yes on Prop 19 and to make an asserted effort to get everybody they know to vote on the upcoming ballot November 2nd," Evans said. "The race will be a close one and people will need to take this fight to the ballot box by voting." The law will go into effect the next day if it passes.

To voice your opinion on Prop 19, Cornerstone Health & Wellness invites all of those interested to join them on Facebook by clicking on the following link www.Facebook.com/mydispensary or by going to www.Prop19fight.com.

Looks like it will fail for sure IMO.

No need to argue. If you think it will pass you can triple your money by going here. under 30% chance to pass according to bets placed.

Polls: Prop 19/marijuana proposal now a toss-up

http://www.bpnews.net/bpnews.asp?id=...ws-RSSFeed1026

Posted on Oct 26, 2010 | by Michael Foust
LOS ANGELES (BP)--One week from Election Day, a string of new polls indicates a California initiative that would legalize the recreational use of marijuana is now a toss-up, just as both sides air their first ads.

For months, the high-profile Proposition 19 race has been a surprisingly low-money race, with California's gubernatorial and U.S. Senate races apparently swallowing most potential donations. But the Los Angeles Times reports the Yes on 19 campaign is putting up its first ad Tuesday on Los Angeles cable stations in a $170,000 buy, while the California Chamber of Commerce is spending $250,000 in radio ads that first aired Friday encouraging voters to oppose the proposal, which if passed would make California the first state to legalize the growth, sale and recreational use of marijuana. Individuals would be able to grow their own marijuana in an area not larger than 25 square feet and possess up to one ounce of it. Local governments would be able to tax it; the state would not collect any money.

"Imagine coming out of surgery, and the nurse caring for you was high, or having to work harder on your job to make up for a coworker who shows up high on pot," the radio ad states. "It could happen in California if Proposition 19 passes.... Employees would be allowed to come to work high, and employers would be unable to punish an employee for being high until after a workplace accident."

NOOB question

So can anybody summaryize the news article released by CBIS yesterday? How does this effect us, what does it do for us, if they do change stock classes how do we get the benifits ect. I know this is probably a pretty ignorant question but I'm fairly new to the stock world and while I'm in Iraq I'm trying to learn as much as I can!
