My company's going public.

Hello everyone!

Im a consultant for a company called Pure Romance Inc. Last year they began exploring the possibility of going public but have yet to finalize anything. Can someone provide me with insight as to how this might be done. Also, when it happens i want to be able to invest in the company myself. From my online research i believe its in my best interest to open an online brokerage account, but it seems that there are many to choose from. Who should i go with, keeping in mind i have no experience at all with investing.

The process of going public will either be done via registration or reverse merger with an existing public entity.

As a consultant to the company, you may be issued shares, or options to buy shares at a cheap price. You will need an broker, there is a thread here with information on what brokers others are using, you will find all the info you need there.

Dragonfly, welcome to HSM!
Firstly I would like to say that your company will most probably do a reverse merger, if not it will be a registration.
Secondly, I would recommend MB Trading since you wont be trading other stocks, and commision is cheap!

60 million in sales and growing by 15 to 25 million each year should get a midsized investment bank if not one of the big boys to show interest getting that company public. Reverse merging with a penny stock might be a big mistake, it might take more work and time to get it on to the big boards.

I don't know about multiple times but i think that it was pure romance that was supposed to r/m into uvcl a while back.

Pure Romance attempted a Reverse Merger with UVCL.OB, or at least approached UVCL but the entire thing fell apart somewhere. Actually, it is UVCL that has tried to allow 3 or 4 Reverse Mergers with companies and each time talks failed to produce anything. Big String Inc was in talks with UVCL a few years back. When that didnt work out Big String still went public several months later on the OTCBB and trades under symbol BSGC.OB.

I would suspect Pure Romance to still be exploring options, but these days a lot of companies are doing Reverse Mergers because attempting to go public through the exchanges without Reverse Mergers can be very difficult. I would suggest opening an online brokerage through Ameritrade. Great support and good for people just getting started. I doubt you will get any stock as a consultant. Stock Options are likely for employees only. Consultants in most cases are independent contractors? Correct?

How do you know or were you informed that they are still going public?

UniverCell And Pure Romance Cease Merger Talks

MIAMI BEACH, Fla., Feb. 13, 2007 (PRIME NEWSWIRE) -- UniverCell Holdings, Inc. (OTC BB:UVCL.OB - News) announced today that the company has ceased merger talks with Pure Romance.

Sean Y. Fulda, CEO of UniverCell, commented, ``We regret that the merger talks did not culminate in a successful reverse merger as we originally contemplated. Several issues arose over the past five months including the timing and costs of the merger, which caused the merger talks to cease between the two companies.''

UniverCell will continue to seek a merger candidate or attempt to raise capital to fund new subsidiaries and operating companies. The advantage of raising capital and funding new subsidiaries and operating companies is that there will be less shareholder dilution than a reverse merger would affect. The company has several businesses and industries that it is currently exploring.

Wow! What a great board. So many answers and great responses. Well, during our annual training meeting in August, a lot of people from the company were talking about the company going public, and they were very excited. That’s how I know. I don’t know much more other than I want to buy the stock once it happens. I am a consultant and independent contractor and do not expect to receive any shares. Anyhow, what I do know is that it is expected to happen very soon, certainly not in the future. I’ve been looking over a few of the sites today with respect to opening up my brokerage account.

I've been reading over this thread. Wouldn't a otcbb company need to announce a letter of intent to merge? So we should be finding out who the company is going to merger with? I dont see anything online about an LOI with a company and Pure Romance other than UVCL's which was cancelled.

A lot of penny stocks for example use the letter of intent as a way of pumping up their respective stock prices, but in fact a company that has a serious desire to go public generally has no duty to disclose acquisition or merger talks as long as it refrains from trading in its own stock, most companies typically make no public announcement until a definitive agreement has been reached.

Early acquisition and merger discussions are almost always conducted under a shroud of secrecy. Although such negotiations are eventually made public, a public company must decide when to release that information - too soon and the deal could fall apart, or too late and the company could be accused of failing to disclose material information or of making material misrepresentations.

It would be nice if Dragonfly could provide us with more insight from who she might know in the company that can get more information for us. We could then begin to narrow the field of potential candidates.

Hello everyone. Im new to investing in stocks. Why is it so important to know who they will merge with now. Im expecting to just buy some shares once Pure Romance starts trading.

As per all the notes and due diligence on the web we can see that Pure Romance Inc. began to explore the idea of going public last year. They began seeking out candidates and explored the idea of doing a Reverse merger with an OTCBB company. Since they decided not to continue working with UVCL.OB many investors have wondered when and with who they would pursue their goal of going public.

Since you are new to investing let me elaborate. A private company like Pure Romance can go public via an initial public offering (IPO) which can be take a few years to complete or by doing a Reverse Merger into an existing public company called a SHELL.

In most cases, the shell company is trading for just pennies because the company has no current business at all. They are simply seeking a private business to merger into them. You can actually buy shares in that shell before your company completes the reverse merger, and hence giving yourself a head start on other people interested in buying shares in the company after they go public.

Here are some examples of companies that were publicly traded shells and had companies do reverse mergers into them:







As you can see. Some people that were able to buy the shell before the reverse merger was announced made astronomical gains. We are just asking if you can provide any insight on who Pure Romance is considering for a Reverse merger. Lets narrow the field down a little.

Wow, im learning a lot here. Ok. I do know a lot of people in the company. I dont think someones just going to tell me which company they will merge into but ill try. Where do you recommend i ask? I dont want to call too many people about this.

Best Bet. Talk to someone in accounting. Find out anything you can and let us know.

I've read on another message board that Pure Romance was going to do a Reverse merger into a company called Zaxis International. We here have at least confirmed they are going public and maybe doing that in the next few weeks, but it sure would be nice to get some insight from you. Did you hear anything from your friends in the company yet? Im thinking about picking some shares up but would like a little more insight. Thanks!

Well i contacted a friend in accounting. She didn't provide me with a company name but told me the company's financial statements have been provided to someone for review. I asked if she knew who, and she said the persons name is Ivo Heiden. That's all i could get so far. I'm waiting for a few more return calls.

Hey! Ivo Heiden is CEO of Zaxis. Regarding financials. Companies are now required by the SEC to provide financials for shareholder review once the merger is complete. Im not sure the time frame, but i believe it is within a few months after the merger is announced. I need to dig up more specifics information on that. I picked up 10000 shares today and might pick a few more up tomorrow. I recommend you pick up a small lot of the company if you can. I have a feeling we will all be greatly rewarded. The symbol is ZAXS.OB. If you need help, let me know. I will see if i can dig up some more info on this company and post it here later today. See what else you can find. Great work!

I tried to get 10000 more shares today at .03 and it moved up pretty fast. I guess there isnt many shares out there. I've been reading up on Mr. Heiden. He has been pretty involved with bring several private companies public in the past few years. Developments here are very positive.
