Novelos Therapeutics, Inc., a biotechnology company, offers oxidized glutathione-based compounds for the treatment of cancer and hepatitis. The company's primary product NOV-002, a small-molecule derivative of a natural metabolite, is developed in combination with chemotherapy for the treatment of lung and ovarian cancer. NOV-002 is also designed to act as a cytoprotectant and an immunomodulator, as well as developed for the treatment of ovarian cancer and acute radiation injury. The company's another product, NOV-205 is a small-molecule formulation of oxidized glutathione and inosine for the treatment of chronic hepatitis C. NOV-205 is designed to act as a hepatoprotective agent with immunomodulating and antiviral activity. Novelos Therapeutics is based in Newton, Massachusetts.

ITEM 3.02 UNREGISTERED SALES OF EQUITY SECURITIES
On December 11, 2006, we granted options to purchase common stock to the persons and in the amounts that follow:


Executive Officers Shares
Harry Palmin 150,000
Christopher J. Pazoles, Ph.D. 100,000
M. Taylor Burtis 100,000
George Vaughn 30,000




We also granted additional options to purchase up to 230,000 shares of common stock to certain other employees and consultants. All of the above options have an exercise price of $0.91 per share which represents the closing price of our common stock on December 11, 2006 as reported on the Over the Counter Bulletin Board and an expiration date of December 11, 2016. The options were granted as compensation for employment or consulting services, as applicable. The options will vest and become exercisable for 1/3 of the maximum number of shares granted on the first anniversary of the date of grant, and shall vest and become exercisable for an additional 1/3 on the last day of each year thereafter, so that the options shall be fully vested on the third anniversary of the date of grant. The options granted to employees are evidenced by an agreement in the form of the incentive stock option agreement filed as Exhibit 10.1 to this report. The options granted to consultants are evidenced by an agreement in the form of the non-statutory stock option agreement filed as Exhibit 10.2 to this report.

These issuances were exempt from registration under the Securities Act of 1933 pursuant to an exemption under Section 4(2) thereof as a sale of securities not involving any public offering.

The form of the incentive stock option agreement, the form of non-statutory stock option agreement and the form of non-statutory director stock option agreement filed as Exhibit 10.1, Exhibit 10.2 and Exhibit 10.3, respectively, to this report are the forms to be used for all options granted under our 2006 Stock Incentive Plan.

BioMedReports.Com, the news portal which covers Wall Street's biomedical sector and delivers financial and investment intelligence to a community of highly informed investors, is reporting Pfizer Inc. has announced that it has decided to discontinue the late-stage study of its lung cancer candidate figitumumab (CP-751,871) while Novelos' (OTCBB: NVLT) pivotal Phase 3 trial, with a primary efficacy endpoint of improvement in median overall survival, continues across approximately 12 countries and 100 clinical sites.
Yesterday, it was reported that an independent data monitoring committee found by analyzing data from Pfizer's late-stage study that the addition of figitumumab to a combination of older medications -- paclitaxel and carboplatin -- was unlikely to meet the primary endpoint of improving overall survival compared to the combination of paclitaxel and carboplatin alone.
Meanwhile, Novelos' randomized, open-label, international, pivotal Phase 3 trial continues evaluating NOV-002 in combination with paclitaxel and carboplatin versus paclitaxel and carboplatin alone, in approximately 900 patients with Stage IIIb/IV lung cancer.
Other drugs like motesanib, by Takeda Pharmaceutical and Amgen and Nexavar, from Bayer and Onyx Pharmaceuticals, have shown negative effects in that cell type, leaving the market wide open for Novelos' NOV-002.
"We actually potentiate the chemotherapy," said Palmin in a recent interview with BioMedReports. "We make the cancer cells more sensitive to chemotherapy and we also inhibit the cancer's ability to metastasize (spread), so there are all sorts of interesting effects that happen at the tumor level. However, on the normal cells -- for example bone marrow cells and blood cells -- which of course get damaged by chemotherapy -- we don't stop the damage but we do help the recovery from that damage. In the words of big pharma, 'if this Phase III trial is positive, this will be revolutionary for the cancer field.'"
